1. The Service
AshDHD Learning (the “Company”) provides access to the SPARK Care™ digital training platform (the “Service”). This service is designed for professional staff development in the supported accommodation sector.
The Service is a training framework and does not constitute clinical advice, therapeutic intervention, or safeguarding oversight.
2. Subscriptions and Term
- 12-Month Minimum Term: By subscribing to a Foundations or Plus package, you agree to a minimum commitment of twelve (12) months.
- Founders’ Rate: If you joined during the launch phase, your Founders’ Rate is locked for the duration of your initial 12-month term.
- Automatic Renewal: Unless cancelled at least 30 days before the end of the initial term, the subscription will automatically renew on a rolling monthly basis at the then-current standard market rate.
3. Fees and Payment
- Fees are billed monthly in advance.
- Failure to make payment may result in immediate suspension of platform access for all staff members associated with the account.
- Additional staff licences beyond the standard allocation (7 staff + 1 manager) will be billed at £15 per person / per month.
4. Intellectual Property (IP)
- All content, including but not limited to the SPARK Spine, SWIFT+R™, videos, posters, and downloadable tools, are the sole property of AshDHD Learning.
- Grant of Licence: You are granted a non-exclusive, non-transferable licence to use these materials within your specific registered home only.
- Restrictions: You may not record, re-sell, share login credentials outside your organization, or adapt the framework for external commercial use without written permission from the Company.
5. Content Rollout (SWIFT+R™)
- Users acknowledge that at the time of launch, the SWIFT+R™ modules are under development.
- Founders’ Rate subscribers will receive access to these modules at no additional cost once released.
- The temporary absence of this module does not constitute a breach of contract or grounds for early cancellation.
6. Limitations of Liability
- AshDHD Learning provides the framework and tools, but the Provider (the client) remains 100% responsible for:
- The delivery of care
- The safety of young people
- Regulatory compliance (e.g., Ofsted)
- The Company is not liable for any incidents, injuries, or regulatory failures that occur within the Provider’s setting.
7. Termination
- By the Provider: You may terminate the agreement after the initial 12-month term by providing 30 days’ written notice.
- By the Company: We reserve the right to terminate access immediately if these terms are breached, particularly regarding IP theft or non-payment.
8. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Operational Responsibility and Risk Management
- No Liability for Incidents: AshDHD Learning provides a practice framework and training materials only. We are not a clinical or safeguarding service. The Company holds no responsibility or liability for incidents, accidents, or injuries involving staff or young people.
- Provider Accountability: The Provider maintains full and sole responsibility for the safety and well-being of residents. Implementation of SPARK Care™ or SWIFT+R™ must align with internal policies, safeguarding procedures, and risk assessments.
- Risk Assessments: This training does not replace professional judgment. Staff must follow their organization’s risk assessments at all times. The Company is not liable for outcomes where actions conflict with internal or statutory requirements.
- Clinical and Statutory Limits: SPARK Care™ is a relational tool and does not substitute for clinical intervention, medical advice, or emergency/statutory services where required by law.
